1.Definitions
"Studio", "we", "us" and "our" refer to Jaytivity Productions, operated by Jide Akinrinade, based in London, United Kingdom. "Client", "you" and "your" refer to the individual or organisation engaging the Studio. "Services" means video production, videography, editing, post-production and related creative services. "Deliverables" means the final video files and supporting assets produced under an agreed brief.
2.Engagement & Quotation
All quotations are valid for 30 days from the date of issue. A project is confirmed only once the Client has accepted the quotation in writing (email is acceptable) and paid any required deposit. Quotations are based on the brief supplied at the time; material changes to scope, locations, crew, talent, deliverables or schedule may require a revised quotation.
3.Booking, Deposit & Payment Terms
A non-refundable deposit of 50% of the total project fee is required to confirm the booking and reserve shoot dates. The remaining balance is invoiced on delivery of the final master files and is payable within 14 days of the invoice date, unless agreed otherwise in writing.
Payments are made in GBP by bank transfer. Late payments accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Deliverables remain the property of the Studio until full payment has been received.
4.Cancellation & Rescheduling
If the Client cancels a confirmed project, the deposit is non-refundable. Cancellations within 14 days of the shoot date may incur additional charges of up to 100% of the fee to cover crew, location, equipment and lost booking opportunities. Rescheduling is offered subject to availability and may incur reasonable rebooking fees where third-party costs have been incurred.
5.Client Responsibilities
The Client agrees to provide accurate briefs, brand assets, approvals, access to locations, required permits and any necessary releases for talent, music or third-party material in a timely manner. Delays caused by the Client may impact the agreed delivery schedule and may incur additional costs.
6.Production, Revisions & Approval
The standard package includes up to two (2) rounds of revisions per deliverable on the offline edit. Revisions must consist of consolidated, written feedback. Additional revision rounds, re-edits, or changes requested after final sign-off are billed at the Studio's prevailing hourly rate.
The Client is responsible for reviewing all drafts carefully. Once final approval is given in writing, the project is considered complete.
7.Delivery & Archiving
Final Deliverables are supplied via secure download in the agreed formats and resolutions. Project files, raw footage and source assets are archived for 90 days from final delivery, after which they may be deleted without notice. Long-term archival can be arranged for an additional fee.
8.Intellectual Property & Licence
On receipt of full payment, the Client is granted a perpetual, worldwide, non-exclusive licence to use the final Deliverables for the purposes set out in the brief (e.g. marketing, advertising, social media, internal use). The Studio retains ownership of all raw footage, project files, working files and underlying creative materials.
The Studio reserves the right to display the Deliverables in its portfolio, showreel, website, social channels and award submissions, unless an NDA or written confidentiality agreement is in place.
9.Third-Party Materials & Music
Stock footage, music, sound effects, fonts and graphics are licensed for the agreed use only. The Client must not redistribute or sub-license these elements outside the scope of the licence. Additional uses require new licences, the cost of which is borne by the Client.
10.Credits
Where reasonably possible, the Client agrees to credit "Jaytivity Productions" or "Directed / Produced by Jide Akinrinade" in the end frames or accompanying captions of public-facing Deliverables.
11.Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. Confidential information must not be disclosed to third parties without prior written consent, except as required by law.
12.Liability
The Studio's total liability under or in connection with these Terms is limited to the total fees paid by the Client for the specific project giving rise to the claim. The Studio is not liable for any indirect, consequential or loss-of-profit damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be lawfully excluded.
13.Force Majeure
Neither party is liable for delays or failure to perform caused by events beyond reasonable control, including illness, severe weather, civil unrest, equipment failure, transport disruption or government restrictions. Affected dates will be rescheduled in good faith.
14.Insurance
The Studio maintains public liability and professional indemnity insurance. Certificates can be supplied on request. The Client is responsible for insuring their own premises, talent, props and locations.
15.Health & Safety
The Studio operates in accordance with UK health and safety regulations. The Client must disclose any on-site hazards in advance. The Studio reserves the right to pause or cancel a shoot where conditions are deemed unsafe, without penalty to the Studio.
16.Governing Law
These Terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales. The parties agree to attempt to resolve disputes amicably before initiating formal proceedings.
